When you use the tools on CENTER TOOLS, you may provide data such as text, code, URLs, or files ("User Input Data").

• License to Us: By using the Service, you grant CENTER TOOLS a worldwide, non-exclusive, royalty-free license to use, process, transmit, and display your User Input Data solely for the purpose of providing and improving the Service functionality you request.
• Responsibility: You are solely responsible for your User Input Data, including its legality, reliability, accuracy, and appropriateness. You represent and warrant that you have all necessary rights to input the data into our tools and that doing so does not violate any third-party rights or applicable laws.

WE MAKE NO WARRANTY THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE (E.G., OUTPUT FROM TOOLS) WILL BE ACCURATE, COMPLETE, OR RELIABLE; (D) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS; OR (E) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED.   

YOUR USE OF THE SERVICE AND RELIANCE ON ANY INFORMATION OR TOOL OUTPUT OBTAINED THROUGH THE SERVICE IS AT YOUR OWN RISK.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CENTER TOOLS, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (A) THE USE OR THE INABILITY TO USE THE SERVICE; (B) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES; (C) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA (INCLUDING USER INPUT DATA); (D) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR (E) ANY OTHER MATTER RELATING TO THE SERVICE.   

IN JURISDICTIONS WHERE THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES IS NOT ALLOWED, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. GIVEN THE SERVICE IS PROVIDED FREE OF CHARGE, OUR TOTAL CUMULATIVE LIABILITY ARISING FROM OR RELATED TO THE SERVICE AND THESE TERMS SHALL NOT EXCEED TEN US DOLLARS ($10.00 USD) OR THE EQUIVALENT IN PAKISTANI RUPEES.   

8. Indemnification

You agree to indemnify, defend, and hold harmless CENTER TOOLS and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from your (a) use of the Service, (b) violation of these Terms, (c) violation of any rights of another party, or (d) violation of any applicable laws or regulations.

The Service may contain links to third-party websites or services that are not owned or controlled by CENTER TOOLS. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that CENTER TOOLS shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.   

10. Termination

We reserve the right, in our sole discretion, to terminate or suspend your access to all or part of the Service at any time, with or without notice, for any reason, including, without limitation, breach of these Terms. Upon termination, your right to use the Service will immediately cease. Sections 4, 5 (regarding responsibility and licenses needed post-termination), 6, 7, 8, 11, and 14 shall survive any termination.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide notice (e.g., by posting on the Site or updating the Effective Date). What constitutes a material change will be determined at our sole discretion.
